Terms of Service

These Terms of Service ("Terms") govern your use of the website operated by Fullstack Coding Ltd and the provision of software development services. By engaging our services or using our website, you agree to be bound by these Terms. Please read them carefully.

1. About Us

Fullstack Coding Ltd is a company registered in England and Wales. Our registered office is at 61 Bridge Street, Kington, Herefordshire, HR5 3DJ, United Kingdom. References to "we", "us", and "our" refer to Fullstack Coding Ltd. References to "you" and "your" refer to the client or website visitor.

2. Services

We provide custom software development services including, but not limited to: web application development, business automation systems, CRM and ERP integrations, reporting dashboards, client portals, SaaS MVP development, and API integrations.

Each engagement is governed by a project proposal or statement of work agreed between us and the client prior to commencement. The proposal sets out the specific scope, deliverables, timeline, and price for each project.

3. Project Proposals and Contracts

A binding contract is formed when we issue a written project proposal and you accept it in writing (by email or signed document). The proposal, together with these Terms, forms the entire agreement between us.

We reserve the right to decline any project or enquiry at our discretion. Acceptance of an enquiry does not constitute a binding agreement until a proposal is formally accepted.

4. Payment Terms

Unless otherwise agreed in writing:

• A deposit of 50% of the total project fee is due before work commences
• The remaining 50% is due upon delivery of the completed project
• For larger projects, milestone-based payment schedules may be agreed
• Invoices are payable within 14 days of issue by BACS bank transfer
• Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

5. Intellectual Property

Upon receipt of full payment, all intellectual property rights in the deliverables created specifically for you under a project agreement are assigned to you. We retain ownership of any pre-existing frameworks, libraries, tools, or methodologies ("Background IP") used in the development of your project. You are granted a perpetual, non-exclusive licence to use any Background IP incorporated in your deliverables.

We may reference the general nature of completed projects in our portfolio unless you request otherwise in writing.

6. Client Obligations

To enable us to deliver your project effectively, you agree to:

• Provide accurate and complete information and requirements
• Make a designated point of contact available for questions and approvals
• Review and respond to deliverables within a reasonable timeframe (typically 5 business days)
• Provide access to necessary systems, accounts, or third-party services as required
• Make payments on time in accordance with agreed terms

Delays caused by your failure to fulfil these obligations may result in revised timelines and may constitute grounds for additional charges.

7. Revisions and Scope Changes

Each project proposal includes a defined scope. Minor revisions and bug fixes during development are included. Requests for additional features, significant changes to requirements, or work that falls outside the agreed scope will be treated as change requests, subject to a revised quote and timeline.

8. Warranties and Representations

We warrant that:

• Services will be performed with reasonable care and skill
• Deliverables will substantially conform to the agreed specification
• We will not knowingly incorporate infringing third-party intellectual property

We do not warrant that our software will be entirely error-free or operate without interruption. We will use reasonable efforts to remedy defects reported within the post-launch support window specified in your proposal.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability to you shall not exceed the total fees paid by you for the specific project giving rise to the claim
• We shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of data, or business interruption
• Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited by law

10. Confidentiality

Both parties agree to keep confidential any information disclosed during the course of a project that is designated as confidential or that a reasonable person would understand to be confidential. This obligation survives termination of the agreement for a period of 3 years.

11. Termination

Either party may terminate a project agreement with 14 days' written notice. In the event of termination:

• You will pay for all work completed up to the date of termination, calculated on a pro-rata basis
• We will provide you with all work completed to date upon receipt of final payment
• The deposit paid is non-refundable once work has commenced (see our Refund Policy)

12. Data Protection

Each party shall comply with its obligations under UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf, we will do so only in accordance with your instructions and our Privacy Policy. A Data Processing Agreement can be provided on request.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. Any updated Terms will be posted on this page. Continued use of our services after changes have been posted constitutes acceptance of the revised Terms.
